Terms of Service

Welcome to dailymealcenter (the “Site”), operated by Daily Meal Center, LLC (“we”, “us”, or “our”). By accessing or using https://dailymealcenter.com (the “Website”) and any related services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree with any part of these Terms, you must discontinue use of the Site immediately.

1. Usage Rights

• Use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display the content in connection with the Site and its promotion.
• Sublicense these rights to third parties, provided such use remains consistent with the purpose of the Site.

You represent and warrant that your UGC does not infringe any third‑party rights, is not defamatory, obscene, or otherwise unlawful, and that you have all necessary permissions (including from any co‑authors, photographers, or trademark owners) to grant the above license.

3. Prohibited Conduct

You agree not to:

• Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, or otherwise objectionable.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Attempt to gain unauthorized access to any portion of the Site, other user accounts, or any computer system or network connected to the Site.
• Upload viruses, worms, or any other malicious code.

4. Disclaimers

The Site and all content are provided on an “as‑is” and “as‑available” basis without any warranties of any kind, either express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, non‑infringement, and accuracy.

We do not guarantee the nutritional information, cooking times, or ingredient availability presented in any recipe. Users are encouraged to verify all information and consult professional nutritionists or medical professionals before making dietary decisions.

We are not responsible for any errors, omissions, or inaccuracies in the content, nor for any loss or damage that may arise from reliance on the information provided.

5. Liability Limitations

To the fullest extent permitted by applicable law, Daily Meal Center, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Site.
• Any unauthorized access to or alteration of your transmissions or data.
• Any content posted by third parties on the Site.

In no event shall our total cumulative liability exceed the amount you have paid (if any) to Daily Meal Center for the specific service that gave rise to the claim, or $100 USD, whichever is greater.

6. Dispute Resolution

All disputes arising out of or relating to these Terms, the Site, or any of our services shall be resolved in accordance with the following procedures:

1. Negotiation: The parties shall first attempt to resolve the dispute through good‑faith negotiations. Either party may initiate this process by sending a written notice to the other party’s designated contact address (see “Contact Information” below).
2. Mediation: If the dispute is not resolved within 30 days of the negotiation notice, either party may request mediation with a mutually agreed‑upon mediator. The costs of mediation shall be shared equally.
3. Arbitration: Should mediation fail, the dispute shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be New York, New York, United States.

Each party shall bear its own attorneys’ fees and costs, except that the prevailing party in arbitration may be awarded reasonable attorneys’ fees and costs at the arbitrator’s discretion.

These dispute resolution provisions do not preclude either party from seeking provisional remedies (including injunctive relief) in a court of competent jurisdiction to protect its intellectual property or confidential information.

7. Governing Law

These Terms shall be governed by, construed, and enforced in accordance with the laws of the United States, without regard to its conflict‑of‑law principles.

8. Modifications to the Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Any changes will be posted on this page with an updated “Last Updated” date. Your continued use of the Site after such changes constitutes your acceptance of the new Terms.

9. Termination

We may suspend or terminate your access to the Site, without prior notice or liability, for any reason, including but not limited to a breach of these Terms or any unlawful activity. Upon termination, all licenses granted to you under these Terms shall immediately cease.
